1. COMPANY DETAILS
These Terms & Conditions (“Terms”) govern access to and use of the Tectanium Labour Platform (“the Platform”), operated by:

- Registered Office: 86-90 3rd Floor, Paul Street, London, England, EC2A 4NE
- (“the Company”).
2. DEFINITIONS
For the purposes of these Terms:
- Platform – The online software system providing subcontractor onboarding, compliance tracking, timesheet management and invoicing tools.
- User – Any individual or business granted access to the Platform.
- Account Holder – The contracting company granted administrative control of a Platform account.
- Subcontractor User – A subcontractor or operative using the Platform under an Account Holder’s access.
3. NATURE OF THE SERVICE
3.1 The Platform provides digital tools for: Subcontractor onboarding, Compliance tracking, Timesheet submission and approval, Invoice calculation support (including CIS and VAT estimation), Reporting and record storage.
3.2 The Platform is designed to improve administrative efficiency and financial oversight for construction contractors.
3.3 The Platform does not: Employ subcontractors, Act as an employment agency, Provide payroll services, Provide legal, tax, or financial advice.
3.4 Users remain solely responsible for employment classification, tax compliance, CIS deductions, and final payment decisions.
4. ACCESS & ACCOUNT RESPONSIBILITY
4.1 Access to the Platform is provided free of charge to authorised Users.
4.2 The Account Holder is responsible for: All activity under their account, Managing user permissions, Ensuring data accuracy.
4.3 The Company reserves the right to suspend, restrict, or revoke access at its discretion where misuse or breach of these Terms occurs.
5. USER RESPONSIBILITIES
5.1 Users are responsible for: Accuracy of all data uploaded, Accuracy of timesheet approvals, Verification of certification and insurance documentation, Independent verification of financial outputs.
5.2 Automated calculations, including CIS and VAT estimates, are provided for convenience only. Users must independently verify all calculations prior to payment.
5.3 Users confirm they have not relied upon any representation not expressly set out in these Terms.
6. DATA OWNERSHIP & PROCESSING
6.1 All data uploaded to the Platform remains the property of the relevant Account Holder.
6.2 The Company acts as Data Processor in respect of personal data uploaded by Users.
6.3 The Account Holder acts as Data Controller.
6.4 The Company shall process data solely for the purpose of operating and maintaining the Platform.
6.5 The Company shall not sell or commercially exploit user data.
6.6 Data shall be processed in accordance with UK GDPR and the Data Protection Act 2018.
7. INTELLECTUAL PROPERTY
7.1 All intellectual property rights in the Platform remain the exclusive property of the Company.
7.2 Users are granted a non-exclusive, non-transferable licence to use the Platform.
7.3 Users shall not: Copy, Reverse engineer, Replicate, Distribute, Resell, Modify any part of the Platform without prior written consent.
8. ACCEPTABLE USE
Users must not: Upload false, misleading, or fraudulent information; Misrepresent working hours; Attempt unauthorised access to other accounts; Interfere with system integrity or security; Use the Platform for unlawful employment or tax practices. Breach may result in immediate suspension or termination of access.
9. CONFIDENTIALITY
Users shall treat all commercial and operational information accessed through the Platform as confidential and shall not disclose such information without appropriate consent.
10. LIMITATION OF LIABILITY
10.1 The Platform is provided “as is”.
10.2 The Company shall not be liable for: Employment disputes, HMRC penalties, Incorrect CIS deductions, Contractor–subcontractor payment disputes, Financial losses arising from user error, Business interruption or loss of profits.
10.3 The Company’s total liability shall not exceed £10,000,000.
10.4 Nothing in these Terms excludes liability for fraud or death or personal injury caused by negligence.
11. TERMINATION & 12. FORCE MAJEURE
11.1 The Company or Users may suspend or terminate access upon written notice.
11.3 Upon termination: Access shall be revoked; Data export shall be available for 30 days; Data may be deleted thereafter unless legally required to retain it.
12.0 The Company shall not be liable for delay or failure resulting from events beyond its reasonable control.
13. GOVERNING LAW
These Terms shall be governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
